Practice Description

Mr. Flägel practices corporate and securities law, serving domestic and international clients, with a focus on German clients. He counsels corporations and individuals with respect to the acquisition and sale of companies and business lines, be it through mergers, management buy-outs, leveraged buy-outs, auctions or bankruptcy sales. Mr. Flägel also advises lenders and borrowers in maritime financing transactions. For his German clients, he advises on a broad scope of commercial legal issues, taking advantage of the firm’s broad general corporate practice, including formation of companies, negotiation of commercial contracts, real estate, employment matters, litigation and intellectual property. Mr. Flägel’s securities practice includes public equity and debt offerings, corporate governance advice to NYSE and Nasdaq listed companies, venture capital financings, private placements and cross-border public and private offerings. He is admitted in New York and qualified for admission in Germany. Mr. Flägel is a native German and practiced several years in Germany before commencing his U.S. practice. He has published a number of legal articles (listed below) about corporate and securities law matters both in the U.S. and Germany.
