Practice Description

Ms. Gray-Trefry’s diverse practice involves counseling public companies on corporate governance and securities regulation issues, representing public companies in securities offerings, advising clients in the purchase and sale of their businesses and helping new media, technology and gaming companies grow their businesses.

She regularly advises public companies on governance-related issues, securities law compliance matters and proxy disclosure. She has represented issuers in significant securities transactions, including the initial public offering and NYSE listing of a reinsurance company and multiple follow-on equity offerings for other NYSE and Nasdaq listed companies.

She has also worked on all aspects of merger and acquisition transactions, including the representation of a major medical device company in connection with a number of its acquisitions.

Ms. Gray-Trefry has also developed an active practice in advising new media, technology and gaming companies. She advises these companies about organizational matters, helps them secure their intellectual property rights and structures entrepreneurial ventures for these companies.
