Practice Description

Ms. Mann’s practice concentrates on the representation of tax-exempt organizations. She draws upon her comprehensive experience in issues facing such organizations and is counsel to numerous public charities and private foundations, from family foundations to large charities specializing in education and scientific research, from trade associations to grass roots organizations providing services to impoverished communities. Ms. Mann represents clients in a wide range of governance, regulatory, tax, and general corporate matters. Her work focuses primarily in areas particular to tax-exempt organizations, including charitable solicitation, corporate governance, formation of tax-exempt organizations, grant-making, international philanthropy, investigations by the Attorney General or the Internal Revenue Service, management of charitable assets, reorganizations, and tax compliance. She has also represented tax-exempt organizations and their directors in a variety of matters, including claims of breach of fiduciary duty, misuse of restricted assets, and disputes over election and dismissal of corporate officers.
