O Canada! – Summer Update

Corporate partner Guy Lander and corporate associates Christine Jung, Jayun Koo and Natalie Wilson have had a busy start to the summer assisting Canadian energy companies in various transactions:

  • On June 28, Petronas, a Malaysian national oil and gas company, and Progress Energy Resources Corp. announced that Petronas’ Canadian subsidiary Petronas Carigali Canada Ltd. and Progress entered into an agreement for the purchase of all of Progress’ outstanding common shares, a transaction valued at approximately CDN $5.5 billion.
  • On June 19, Anatolia Energy Corp. announced the filing of a preliminary short form prospectus with the securities regulatory authorities in Ontario, British Columbia, Saskatchewan, Manitoba and Alberta, in connection with a fully marketed public offering of units, a transaction with expected gross proceeds of $6 million.
  • On June 4, Veraz Petroleum Ltd. announced that it entered into a purchase and sale agreement with Petrominerales Ltd. pursuant to which Petrominerales will acquire all of the shares of Veraz’s subsidiary Veraz Petroleum Peru S.A.C. for a total consideration of US $5 million.
  • On June 26, EmberClear Corp. announced the closing of an initial tranche of 362 units for aggregate gross proceeds of $3,258,000 pursuant to its previously announced brokered private placement of units. EmberClear also completed the sale of additional units on a non-brokered private placement basis for additional gross proceeds of $429,000.
  • Greenfields Petroleum Corporation announced that it closed its previously announced public offering of 9.0% convertible unsecured subordinated debentures for aggregate gross proceeds of $23,725,000.
  • TD Securities Inc. acted with Euroz Securities Limited as Joint Lead Managers and Lead Underwriters for the underwritten equity placement of Aurora Oil & Gas Limited to raise approximately A$120 million.
  • On June 19, Keyera Corp. announced that it concluded its previously announced private placement of $200 million (Canadian equivalent) of medium and long-term senior unsecured notes to a group of institutional investors in Canada and the United States.
