Tender Offer for Origio A/S

On June 4, 2012, a subsidiary of The Cooper Companies, Inc. launched a tender offer for Origio A/S, a Danish company listed on the Oslo, Norway stock exchange. The tender was instigated by Cooper Companies’ subsidiary, CooperSurgical, Inc., which develops, manufactures and markets assisted reproductive technology products and other medical devices, diagnostic products and surgical instruments and accessories used primarily by obstetricians and gynecologists. Origio develops, manufactures and markets assisted reproductive technology products throughout the world, including the U.S. If the tender offer is successful, Origio will be part of the CooperSurgical business unit. 
 
UBS was Cooper Companies’ investment banker for the tender offer. Bech-Bruun in Copenhagen, Denmark and Wikborg, Rein & Co. in Oslo, Norway provided legal counsel to Cooper Companies and CooperSurgical in connection with the offer in each of those countries. CL&M served as U.S. counsel for the offer. David I. Karabell, Steven J. Glusband and Bryan J. Hall were the principal CL&M attorneys working on the transaction.
