The Cooper Companies Completes Voluntary Tender Offer for Origio

On July 11, Cooper Companies, Inc. announced the completion of the tender offer for Origio a/s, a Danish company listed on the Oslo, Norway stock exchange, with the purchase of over 96% of the issued and outstanding shares. The tender was instigated by Cooper Companies’ subsidiary, CooperSurgical, Inc., which develops, manufactures and markets assisted reproductive technology products and other medical devices, diagnostic products and surgical instruments and accessories used primarily by obstetricians and gynecologists. Origio develops, manufactures and markets assisted reproductive technology products throughout the world, including the U.S. To acquire all outstanding shares of Origio, Cooper will now proceed with the mandatory redemption of the remaining Origio shares in accordance with the Danish Companies Act. David I. Karabell, Steven J. Glusband and Bryan J. Hall were the principal CL&M attorneys working on the transaction.
