Gold Standard Ventures Corp. Closes Offering of Common Shares

On June 27, 2012, our client Gold Standard Ventures Corp. closed a $20 million underwritten registered offering of its common shares in the U.S. and Canada pursuant to registration statements filed in the U.S. and Canada under the Multi-Jurisdiction Disclosure System. Two weeks prior to the closing, and with our assistance, the Gold Standard common shares became listed for trading on the NYSE-MKT (NYSE: GSV).  Our initial representation of the company was last summer in registering its common shares for public reporting in the U.S. as a foreign private issuer and we have subsequently prepared its SEC reports and advised on U.S. securities law issues.
Bruce Rich is the supervising attorney, assisted by Bhavna Agnihotri with U.S. securities law and MJDS matters, Gideon Even-Or with exchange listing and trading issues, Howard Barnet on U.S. federal income tax considerations, and legal assistant Victoria Rudtke directly handled the company’s SEC filings.
