Carter Ledyard’s Guy Ben-Ami, together with Israeli firm Gornitzky, met by Webinar, on Sunday September 10, 2023, with top Israeli companies traded on NASDAQ and NYSE, and discussed the implications of the new SEC clawback rules, aimed at ensuring that companies would recoup incentive-based compensation that was awarded based on inaccurate financial statements.
Israeli dual-listed companies, and all public issuers (both U.S. and foreign) traded on NASDAQ/NYSE, are advised to review their current compensation policies, revise them accordingly, prepare for the reporting requirements, implement the rules into their employment agreements and establish appropriate Board procedures.
