Carter Ledyard Partner James Gadsden, who is a member of both the TriBar Opinion Committee and the Advisory Board of the Working Group on Legal Opinions, and an active participant in the Legal Opinions Committee of the American Bar Association’s Section of Business Law, has contributed the “Corporate Trust Opinions” chapter published in the recently released fourth edition of the Practicing Law Institute’s treatise Legal Opinions in Business Transactions authored by Arthur Norman Field and Jeffrey M. Smith. His chapter addresses the opinions that are delivered by counsel for the issuer and by other parties in connection with the issuance of bonds under indentures, including the opinion given when the indenture is originally executed, when it is amended or supplemented and where required for annual compliance requirements or in connection with transfers of securities issued under the indenture.
