Carter Ledyard partner Guy Lander, Chair of the firm’s Securities practice and Canada Cross-Border practice, had two articles published in volume one of the 2021 New York Business Law Journal, a publication of the New York State Bar Association. Guy’s first article details the SEC’s recently amended definition of “accredited investor” under the Securities Act of 1933. The amendments add new categories of natural persons and entities, and make other modifications to the existing definition that essentially allow more investors to participate in private offerings. The second article presents the SEC’s adoption of new rules to simplify and improve the framework for offerings exempt from SEC registration. The rules, effective March 15, 2021, reduce regulatory friction and expand access to capital for businesses and entrepreneurs.
