Carter Ledyard counsel Faith Colish published an article in Bloomberg Law on November 14, 2018, exploring a legislative proposal which would facilitate securities offerings by companies too small to afford the services of registered brokers. Unregistered finders may have the skills to prepare and structure an offering and to promote the sale of securities, but may not be willing or able to register as broker-dealers. Faith points out that a legislative solution has been introduced to make their services available in appropriate cases: the “Unlocking Capital for Small Businesses Act of 2018, H.R. 6127,” introduced by Congressman Ted Budd in June 2018.
