Although the world of finance is pressure-packed, he is a low-key guy who’s easy to work with, and clients appreciate that he stays focused on their matters and doesn’t take himself too seriously.
With decades of high-level experience in issues related to the federal securities laws and capital formation, Steve counsels clients on a wide variety of transactional, commercial and governance matters. These include domestic and cross-border public offerings of equity and debt securities, mergers and acquisitions, internal investigations and white-collar defense, legal audits, and issues stemming from financial services regulation and enforcement. His clients include businesses in many areas of the world in industries as diverse as technology, software, biotechnology, defense and security, as well as exchange traded funds.
Over the years Steve has helped many clients take their companies public. He enjoys the challenge of getting quickly up-to-speed on the specific industries, clearly communicating complex information in ways that clients and investors can easily understand, and assisting the organizations in building up their financial wherewithal by conducting subsequent offerings and mergers and acquisitions.
As a young attorney, Steve spent four years as a special trial counsel at the New York Regional Office of the U.S. Securities and Exchange Commission. This instrumental experience influenced the course of his career and gave him valuable insight into finance, business, government, and litigation. One of his last cases at the SEC was a contempt case against the famous McCarthy-era lawyer Roy Cohn. Cross-examining Cohn, who was eventually found guilty and disbarred, was one of the highlights of Steve’s professional life. His grounding in high-stakes litigation trained Steve to continually scan the horizon to spot potential problems and disputes and head them off as early as possible, which enhances his ability to serve clients.
In addition to his domestic clients, Steve represents a number of overseas companies based in various countries, including Israel, Australia, and China.
